Terms of Service

1. These terms
These terms form an agreement between you ("Client") and Rikaja Automation, trading as Rikaja, a business registered in India. They cover the Rikaja messaging dashboard and any custom software or automation work we do for you. By signing up for an account or engaging us, you accept them.
You must be a business or acting on behalf of one, and the person accepting must be authorised to bind that business.
2. The service
We provide a dashboard through which you connect your own WhatsApp Business number using Meta's Embedded Signup flow and then send marketing, utility and notification messages, manage templates and view delivery reports. We also build custom software and automation workflows on request, on terms agreed separately in writing.
The WhatsApp Business Account and the number remain yours. We act only as your service provider. Message delivery depends on Meta's WhatsApp Business Platform, which we do not control.
3. Your account
You are responsible for the accuracy of the business details you give us, for keeping your login credentials confidential, and for everything done under your account. Tell us immediately at support@rikajaautomation.com if you believe your account has been compromised.
4. Compliance with Meta and WhatsApp policies
Your use of the platform is additionally governed by Meta's rules, and you must comply with them at all times:
- The WhatsApp Business Messaging Policy
- Meta's Commerce Policy
- The WhatsApp Business Solution Terms and Meta's Platform Terms
Where these terms and Meta's policies conflict, Meta's policies prevail for anything sent over the WhatsApp Business Platform. Meta may suspend or remove your account, your number or your templates at its discretion; we cannot override that.
5. Recipient opt-in and message content
You are solely responsible for obtaining and keeping proof of valid opt-in consent from every person you message, before you message them. You must:
- Only upload recipient phone numbers you have a lawful basis to hold and message
- Make clear to recipients, at the point of opt-in, that they will receive WhatsApp messages from you
- Honour opt-out, stop and unsubscribe requests promptly, and stop messaging those recipients
- Ensure your template and message content is accurate, lawful and not misleading

6. Acceptable use
You must not use the service to:
- Send unsolicited messages, spam or bulk messages to people who have not opted in
- Send content that is unlawful, fraudulent, deceptive, defamatory, obscene, hateful, or that harasses or threatens anyone
- Send phishing messages, malware, or links designed to steal credentials or money
- Impersonate another business or person, or misrepresent who is sending the message
- Promote goods or services prohibited by Meta's Commerce Policy, including illegal drugs, weapons and ammunition, tobacco products, alcohol where prohibited, gambling where prohibited, adult content, and unapproved medical or financial products
- Circumvent rate limits, template approval, or any technical restriction of the platform
- Resell or sublicense access to the dashboard without our written agreement
- Attempt to gain unauthorised access to our systems, other Clients' data, or to reverse engineer the service
- Breach any applicable Indian law, including the Digital Personal Data Protection Act, 2023, telecom regulations and consumer protection law
We may suspend an account immediately, without notice, where we reasonably believe it is being used in breach of this section or is causing harm to recipients, to Meta's platform or to our infrastructure.
7. Fees and billing
- Subscription fees and per-message or per-conversation charges are those set out in your order or on your invoice.
- Meta charges for WhatsApp conversations on its own rate card. Those charges are passed on to you in addition to our fees, unless your order says otherwise.
- Subscription fees are billed in advance; usage charges are billed in arrears for the preceding period.
- Invoices are payable within 15 days of the invoice date unless agreed otherwise in writing.
- All fees are exclusive of GST and other applicable taxes, which are added at the prevailing rate.
- We may suspend the service if an invoice is more than 15 days overdue, after giving you notice by email.
- Fees are non-refundable except where we have charged you in error. Prepaid message credits are not refundable in cash.
- We may change our prices on 30 days' written notice. You may terminate before the change takes effect if you do not accept it.
8. Service availability
We aim to keep the dashboard available at all times but do not guarantee uninterrupted service. We may carry out planned maintenance, and will give reasonable notice by email where we expect downtime. We are not responsible for downtime, delivery delays or message failures caused by Meta's platform, your connectivity, your own systems, or events outside our reasonable control. Any service level commitment applies only if stated in a signed agreement with you.
9. Intellectual property
The dashboard, its software and the Rikaja name and logo remain our property. Your data, your message content and your templates remain yours; you grant us the limited licence needed to host and transmit them in order to provide the service. Ownership of custom software we build for you is as set out in the relevant written agreement.
10. Indemnity
You will indemnify us against claims, penalties, fines and reasonable costs arising from your message content, your failure to obtain recipient opt-in, or your breach of these terms or of Meta's policies.
11. Limitation of liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, business or data.
- Our total aggregate liability arising out of or in connection with the service, in any 12-month period, is limited to the fees you actually paid us in the 12 months immediately before the event giving rise to the claim.
- We are not liable for the acts, omissions, pricing, policy decisions or outages of Meta Platforms.
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud.
12. Termination
- You may close your account at any time by writing to support@rikajaautomation.com. You remain liable for fees accrued up to the closure date.
- We may terminate on 30 days' written notice.
- Either of us may terminate immediately if the other commits a material breach and fails to remedy it within 15 days of written notice, or becomes insolvent.
- We may terminate immediately for a breach of section 4, 5 or 6, or where Meta withdraws our access to the WhatsApp Business Platform.
- On termination your access ends and your data is deleted in line with our Privacy Policy and Data Deletion page. Export anything you need before closing your account.
13. Changes to these terms
We may update these terms. We will post the updated version here with a new "Last updated" date and, for material changes, email the registered contact address of every active Client at least 14 days in advance. Continuing to use the service after that date means you accept the updated terms.
14. Governing law and jurisdiction
These terms are governed by the laws of India. The courts at the location of our registered office in India have exclusive jurisdiction over any dispute arising from them.
